Welcome to OYIOYIO, an online fashion marketplace operated by OYIOYIO LIMITED (“OYIOYIO”, “we”, “us”, or “our”).These Terms of Service (“Terms”) govern your access to and use of the OYIOYIO website, mobile applications, marketplace services, and related services (collectively, the “Platform”).By accessing, registering on, or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use the Platform.

1. ABOUT OYIOYIO
OYIOYIO is a digital fashion marketplace that connects customers with independent fashion designers, brands, boutiques, retailers, and other approved vendors (“Vendors”).OYIOYIO provides the technology and marketplace infrastructure through which Vendors may display and sell products to customers. Unless expressly stated otherwise, OYIOYIO is not the manufacturer, owner, seller, or supplier of products listed by individual Vendors.

2. ELIGIBILITY
You must be legally capable of entering into a binding agreement to use the Platform. If you use the Platform on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. We may restrict, suspend, or terminate access to the Platform where we reasonably believe that an account is being used unlawfully or in violation of these Terms.

3. USER ACCOUNTS
Certain Platform features require you to create an account. You agree to: Provide accurate and complete registration information. Keep your account information current. Maintain the confidentiality of your login credentials. Notify us promptly if you suspect unauthorized access to your account. Accept responsibility for activity carried out through your account, except where caused by our negligence or unauthorized access for which we are responsible. You must not create an account using another person's identity or provide false information. We reserve the right to suspend or terminate accounts that contain misleading information or are used in violation of these Terms.

4. VENDOR ACCOUNTS
Individuals and businesses wishing to sell products through OYIOYIO must complete the Vendor registration process. Vendor applications may be subject to review and approval by OYIOYIO. Approved Vendors are responsible for: Providing accurate business and product information. Ensuring that they have the legal right to sell their products. Maintaining accurate stock information. Providing accurate descriptions, prices, images, sizes, colours, and specifications. Processing customer orders promptly. Complying with applicable laws and regulations. Fulfilling their delivery and return obligations. Providing authentic and lawful products. Responding appropriately to customer enquiries. OYIOYIO may suspend or remove a Vendor or product where we reasonably believe that it violates these Terms, applicable law, marketplace policies, or customer-safety requirements.

5. PRODUCT LISTINGS
Vendors are responsible for the accuracy of their product listings. Product photographs, descriptions, prices, availability, colours, measurements, and other information may vary between Vendors. OYIOYIO does not guarantee that every product listing will always be accurate, complete, available, or error-free. We reserve the right to correct errors, remove listings, or restrict products that do not comply with our policies.

6. ORDERS AND PURCHASES
When a customer places an order through the Platform, the customer is making an offer to purchase the selected product(s) from the relevant Vendor. An order confirmation does not necessarily constitute final acceptance of an order where the Vendor is unable to fulfil it. Orders may be cancelled where, for example: A product is unavailable. There is a significant pricing or listing error. Payment is unsuccessful. The Vendor cannot fulfil the order. Fraudulent or suspicious activity is detected. The order violates applicable law or Platform policies. Where an order is cancelled after payment has been successfully received, any applicable refund will be processed in accordance with our Refund and Returns Policy.

7. PRICES
Vendors are responsible for setting the prices of their products unless otherwise agreed with OYIOYIO. Prices displayed on the Platform may be changed at any time. Where applicable, delivery charges, taxes, duties, service charges, or other applicable fees may be added to the purchase price at checkout. In the event of an obvious pricing or listing error, OYIOYIO reserves the right to correct the error and, where appropriate, cancel the affected order.

8. PAYMENTS
Payments may be processed through third-party payment providers made available through the Platform. You agree to provide accurate payment information and authorize the applicable payment provider to process your transaction. OYIOYIO does not store complete payment-card information where payment processing is handled by a third-party payment provider. Payment transactions may be subject to the terms, privacy policies, and security procedures of the applicable payment provider.

9. VENDOR COMMISSIONS AND PAYOUTS
OYIOYIO may charge Vendors a commission, subscription fee, transaction fee, service fee, or other marketplace fee in accordance with the applicable Vendor agreement or pricing structure. Applicable commissions may be deducted from Vendor sales before payout. Vendor payouts may be subject to verification, refunds, chargebacks, disputes, fraud checks, or other legitimate marketplace controls. OYIOYIO may delay, withhold, or adjust a payout where reasonably necessary to investigate suspected fraud, fulfil legal obligations, resolve a dispute, or comply with payment-provider requirements.

10. DELIVERY AND SHIPPING
Delivery arrangements may vary according to the Vendor, product, customer location, and delivery method selected. Where a Vendor is responsible for fulfilment, the Vendor is responsible for preparing and dispatching the order in accordance with applicable marketplace requirements. Estimated delivery times are estimates and are not guaranteed unless expressly stated otherwise. Delays may occur because of circumstances beyond the reasonable control of OYIOYIO or the Vendor, including transportation disruptions, severe weather, government restrictions, strikes, security incidents, or other force majeure events.

11. RETURNS, REFUNDS AND EXCHANGES
Returns, refunds, and exchanges are governed by OYIOYIO's applicable Refund and Returns Policy. Vendors must comply with applicable consumer-protection laws and OYIOYIO marketplace requirements. Customers should inspect products promptly after delivery and report issues within the period specified in the applicable Refund and Returns Policy. Products may be subject to different return conditions depending on their nature, including hygiene-sensitive, personalized, made-to-measure, or otherwise non-returnable products, where permitted by law. Nothing in these Terms limits any mandatory consumer rights provided by applicable law.

12. PRODUCT AUTHENTICITY AND QUALITY
Vendors are responsible for ensuring that products offered through OYIOYIO are genuine, lawful, safe, accurately described, and fit for their stated purpose. Counterfeit, stolen, prohibited, unsafe, or unlawfully obtained products are not permitted on the Platform. OYIOYIO may investigate complaints concerning products and may remove listings or suspend Vendors where appropriate.

13. PROHIBITED ACTIVITIES
You must not use the Platform to: Commit fraud or facilitate fraudulent transactions. Sell counterfeit or stolen products. Sell products that are prohibited by law or OYIOYIO policies. Provide false, misleading, or deceptive information. Infringe intellectual-property rights. Impersonate another person or business. Attempt to gain unauthorized access to the Platform. Introduce malicious software or harmful code. Manipulate reviews, ratings, orders, or marketplace rankings. Circumvent OYIOYIO's payment or commission systems. Use the Platform for unlawful activities. Harass, threaten, or abuse other users, Vendors, or OYIOYIO personnel. Attempt to move transactions off the Platform for the purpose of avoiding applicable marketplace fees or controls.

14. INTELLECTUAL PROPERTY
The OYIOYIO name, logo, branding, website design, software, content, graphics, interfaces, and other materials provided by OYIOYIO are owned by or licensed to OYIOYIO LIMITED and are protected by applicable intellectual-property laws. You may not reproduce, modify, distribute, sell, license, reverse engineer, or commercially exploit OYIOYIO intellectual property without our prior written permission. Vendors retain ownership of intellectual property that they lawfully own. By uploading product photographs, descriptions, logos, videos, or other materials to the Platform, Vendors grant OYIOYIO a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, modify where necessary for formatting, and distribute such materials for the purpose of operating, marketing, and promoting the marketplace. Vendors represent that they have the necessary rights to provide such materials.

15. USER CONTENT AND REVIEWS
Users may be permitted to submit reviews, ratings, comments, photographs, or other content. You must not submit content that is: False or deliberately misleading. Defamatory or unlawful. Abusive or threatening. Infringing of another person's intellectual-property or privacy rights. Promotional spam or malicious content. By submitting content to the Platform, you grant OYIOYIO a non-exclusive, royalty-free licence to use, reproduce, display, and distribute the content in connection with operating and promoting the Platform. We reserve the right to remove content that violates these Terms or applicable law.

16. THIRD-PARTY SERVICES
The Platform may integrate with third-party services, including payment processors, delivery providers, analytics providers, social-media platforms, hosting providers, communication services, and other technology providers. Your use of third-party services may be subject to the third party's own terms and privacy policies. OYIOYIO is not responsible for the independent actions, availability, or policies of third-party services except to the extent required by applicable law.

17. AI-POWERED FEATURES
OYIOYIO may provide artificial-intelligence-powered features, including recommendations, fashion assistance, personalization, search, or styling suggestions.AI-generated recommendations are provided for informational and styling purposes only.AI recommendations may not always be accurate, complete, or suitable for your individual circumstances. You remain responsible for your purchasing decisions. OYIOYIO does not guarantee that AI-generated recommendations will identify the best product, size, colour, fit, or style for every customer.

18. PRIVACY
Your use of the Platform is also governed by our Privacy Policy, which explains how OYIOYIO collects, uses, stores, and protects personal information. By using the Platform, you acknowledge that you have had an opportunity to review our Privacy Policy.

19. PLATFORM AVAILABILITY
We aim to keep the Platform available and reliable but do not guarantee uninterrupted or error-free operation. The Platform may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, third-party service interruptions, or circumstances beyond our reasonable control. We may modify, suspend, or discontinue any feature of the Platform where reasonably necessary.

20. DISCLAIMERS
To the maximum extent permitted by applicable law, OYIOYIO provides the Platform on an “as available” basis. We do not guarantee that: The Platform will always be available. Product listings will always be error-free. Every Vendor will fulfil every order. Products will meet every customer's expectations. Product availability will always be accurate.AI recommendations will always be accurate. Third-party services will always operate without interruption. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, OYIOYIO LIMITED shall not be liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the Platform. OYIOYIO's liability in relation to a particular transaction shall, where legally permissible, be limited to the amount paid by the affected customer for the relevant transaction. This limitation does not apply to liability that cannot legally be limited or excluded.

22. INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless OYIOYIO LIMITED, its officers, employees, contractors, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from: Your violation of these Terms. Your unlawful use of the Platform. Your infringement of another person's rights. Products or content you upload or sell. Fraudulent or unauthorized activity conducted through your account.

23. SUSPENSION AND TERMINATION
We may suspend or terminate your account or access to the Platform where: You violate these Terms. You engage in fraudulent or unlawful activity. You provide false information. Your activity creates a security or legal risk. Your account is used to harm other users or the Platform. We are required to do so by law. Vendors whose accounts are suspended or terminated may be subject to applicable procedures concerning outstanding orders, refunds, commissions, and payouts.

24. DISPUTES BETWEEN CUSTOMERS AND VENDORS
OYIOYIO may provide mechanisms to assist customers and Vendors in resolving transaction disputes. Where appropriate, we may request information from both parties and review transaction records. Nothing in this section prevents a customer or Vendor from exercising rights available under applicable law.

25. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, except where mandatory applicable law requires otherwise. Where a dispute cannot be resolved amicably, the parties may seek resolution through a court or other lawful dispute-resolution mechanism with appropriate jurisdiction.

26. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our services, technology, legal requirements, or business operations. The updated Terms will be published on the Platform with a revised “Last Updated” date. Your continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

27. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

28. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Refund and Returns Policy, Vendor Agreement, and any other policies expressly incorporated into these Terms, constitute the agreement governing your use of the Platform.
